These Product Consumption Terms are supplemental to the Master Subscription Agreement set forth at: www.matillion.com/legal/master-subscription-agreement/ or otherwise negotiated between the parties. Terms capitalized but not defined herein shall have the meanings set forth in the Agreement.
Matillion Credits are used to pay for the consumption of Matillion resources. A credit (“Credit”) is the smallest unit of charge, consumed when Customer uses a resource as described in the Consumption Table. For Matillion Data Loader (MDL), Credits are consumed based on rows being loaded. For Matillion ETL, Credits are consumed: (a) during the time in which the Software was available for use (switched “on” via the Cloud Provider management tools); or, (b) when an Active User (beyond the included Active Users in the subscription) uses the Software.
Matillion ETL consumes Credits, with one Credit equal to one virtual core per hour of usage of the time in which the Software was available for use (switched “on” via the Cloud Provider management tools). A virtual core is the same as an AWS vCPU, Azure virtual CPU, or Google vCore.
Every subscription includes 5 Active Users that can work across all Matillion ETL instances in a subscription.
Active User means someone who logs into a Matillion ETL instance to develop or perform administrative functions. Every Matillion ETL subscription includes 5 Active Users that can work across all Accounts in a subscription. Each additional Active User is charged at 50 Credits each Billing Month that they log into the Product, which allows fees to flex up and down according to a team’s usage. Active Users are identified by unique usernames as determined by Matillion Hub.
MDL 2.0 introduces a new charging metric called “rows per month” (which refers to a Billing Month). Credits consumed by MDL ‘burn’ at different rates according to the type of workload classified as “Batch” and “CDC”.
Credits are consumed at the burn rate shown in the Consumption Table below. As customer volumes pass through the consumption bands, any rows that are loaded within that band are charged at the burn rate for that band. This means incremental increases in usage become cheaper for Customer.
Batch Rows – each “row” is a single row of data written to a table in the destination Cloud Data Platform.
CDC Rows – each “row” is an individual row-level change reported by the source database, along with each row of data in the full load snapshot, and written into a file within the chosen storage destination.
A pipeline may load a small amount of metadata rows which are considered as usage.
If Customer exceeds its Credit allowance, Customer will be responsible for Overage Charges. “Overages Charges” means the additional charges payable if Customer continues to use the Products after all of the purchased Credits have been consumed or have expired. The charges for Credits consumed by such continued use will be calculated at the published PAY-GO rate for the subscribed Edition’s usage, uplifted by twenty per cent (20%) for Mission Critical Support where Customer has elected that option on the original order. Customer may prevent Overage Charges by agreeing to a new subscription term and/or purchasing further Credits under the terms of a separate contract.
The Consumption Table (“Consumption Table”) is the table documenting the metrics for Credit consumption. The tables below display how Credits are consumed in Matillion ETL instances and MDL, respectively.

Account means the Customer’s paid account that is registered with the Hub. A Customer may have multiple Accounts. Definition of Billing Month and how this applies to each model.
Billing Month means the period commencing the second that an Active User clicks a button to associate an Instance or begin using a Service, creates a Hub account and links it to their organization and ending one month later (example Feb 28th 17.57.31 to Mar 28th 17.57.30), when the next billing month will commence. This also applies to Free Subscriptions.
Cloud Data Platform means the particular cloud service offering (for example, Snowflake, Amazon Redshift, Google BigQuery, Synapse, Delta Lake on Databricks, etc.) chosen as part of the registration process and in respect of which the particular Product has been developed by Matillion for use with.
Cloud Provider means a third-party infrastructure cloud provider (for example, Amazon Web Services, Google Cloud Platform, or Microsoft Azure) selected by Customer as part of the Registration Process.
Edition means the level of subscription which define any restrictions, available features, sizing limitations and applicability of SLAs as documented on Matillion’s website and in the Matillion Hub. Current Editions are Free, Basic, Advanced, Enterprise, and Business Critical.
PAY-GO is a payment option where the Subscription Fees are charged each month (on the same day of the month) in arrears for the number of whole Credits consumed during the time which the Product was available for use (switched “on” via the Cloud Provider management tools) or was running during the previous Billing Month. The charges applicable are not dependent on the actual use of the Software (in the case of Matillion ETL) during such time; the charge is according to the subscription that Customer selected and number of Active Users in each month.
Subscription Term means a period for which Customer contracts to use the Products on a paid-for basis, being twelve (12) months or such other period as Matillion may agree in writing prior to or upon commencement of the Subscription Term, including any Subscription Term that has renewed, but excluding any Free Subscription.
